4. Orders & Payments
    •    Orders are binding once confirmed in writing (email or signed agreement).
    •    Prices are quoted in U.S. dollars unless otherwise stated.
    •    Payment terms are specified in the invoice or purchase agreement. Unless otherwise agreed, payment is due within 30 days of invoice date.
    •    Late payments may incur interest charges at the maximum rate permitted by law.

5. Shipping & Delivery
    •    We make reasonable efforts to meet delivery timelines, but delivery dates are estimates and not guarantees.
    •    Title and risk of loss transfer to the customer upon shipment (FOB Chicago, unless otherwise agreed).
    •    Customers are responsible for inspecting shipments upon delivery and reporting damages within 5 business days.

6. Intellectual Property
    •    All content on our website (including text, graphics, logos, designs, and images) is the property of Procedes LLC or its licensors and is protected by copyright, trademark, and other laws.
    •    Customers retain ownership of any artwork or materials they provide to us for printing, but grant Procedes LLC a limited license to use such materials solely for fulfilling the order.
    •    You may not copy, reproduce, or use our intellectual property without prior written permission.

7. Customer Obligations
    •    Customers must provide accurate information for orders and ensure that submitted artwork, text, or content does not infringe third-party rights.
    •    Customers are responsible for obtaining all necessary rights, licenses, and permissions for content submitted for printing.
    •    We reserve the right to reject content that is unlawful, offensive, or in violation of intellectual property rights.

    •    Procedes LLC warrants that its products will conform to agreed specifications at the time of delivery.
